Since its establishment in 2005, Heisse Kursawe Eversheds has written one of the success stories on the German legal market: A medium-sized Munich-based law firm developed into an internationally involved, well-respected player that is highly praised by its clients particularly with regard to its cost awareness and professional quality. Due to its intensified cooperation with the international Eversheds network and improved contacts for example with German holding companies in its core area corporate law/M&A, Heisse Kursawe Eversheds has made further progress in the past year. Nevertheless, there were also signs that the law firm has gradually reached cruising speed. Despite the entry of one partner - Dr. Rolf Kowanz, former head of DLA labour law practice - the law firm had to face several exits for the first time: Three patent law partners who joined from Hammonds at the beginning of 2010 in order to help Heisse Kursawe Eversheds to extend its renowned IP practice, decided to go their own ways again. At the same time, the corporate law partner Dr. Jörg Kretschmer established his own law firm. Moreover, in summer 2012 a corporate counsel started working for Orrick. Already before these exits took place, the rapid growth in turnover of the previous years had slowed significantly. Also from its (still) small Hamburg office the law firm is yet acting very carefully.

Labour Law
In the meantime, this law firm highly appreciated in labour law calls its own a well-staffed team that is significant for a law firm of this size. Most recently, Dr. Rolf Kowanz who is from a different background joined from DLA. One of his tasks is to further strengthen the strategic orientation of the labour law practice group. He is working both from the Munich and the still young Hamburg office, which he is supposed to further extend in the medium term. In general, the labour law practice group impresses by its stringent internal organisation, in which young lawyers have client and personnel responsibility already at an early stage. By contrast, other competitors of this size still have to catch up with respect to their internal structure. However, Heisse Kursawe Eversheds has still not succeeded in turning this into a stronger market presence. One of the reasons for this is certainly also the fact that the lawyers are rather providing advice in the background instead of representing their clients before courts.

IPOs and Capital Increases
Appreciated law firm for equity capital market law, which outwardly acted not as strikingly as in the previous year, but still worked actively on IPOs for Chinese companies. Unlike in the previous year, when Heisse Kursawe Eversheds attracted market attention due to two successful China IPOs, the current planned deals did not reach the market. Apart from this niche work, Heisse Kursawe Eversheds remained in the background, as already in the previous year.
Corporate Law
Law firm recommended for corporate law, which continued the growth of the previous years much more slowly in the recent past. The overall balance of the practice group, however, is still positive: In the meantime, Heisse Kursawe Eversheds is not only known as a synonym for providing high-level advice to general meetings, but also increasingly prevails as a permanent advisor of groups of companies against large international law firms, thus profiting from the far reaching international Eversheds network. The law firm also has a good network with respect to medium-sized companies and family offices. Clients further appreciate the value-for-money ratio the and praise the lawyers for their "professional knowledge, quick turnaround and social competence". However, at the beginning of 2012 the renowned partner Dr. Jörg Kretschmer left Heisse Kursawe Eversheds in order to establish his own law firm; joined by a senior associate who had helped to build up the area for corporate law-related standard tasks the in the past few years.

In the recent past, the Munich-based IT practice group increasingly succeeded in generating its own business outside its US network. For example, it was able to prevail against a renowned large law firm with regard to a tender of a Munich-based technology group. The small team around the partner Dr. Alexander Niethammer advised numerous international clients, in particular in the field of data protection. The practice group also advised renowned e-commerce companies, mostly from garment trade, and service providers with respect to this frequently requested topic (1 partner, 3 associates).
M&A
The law firm recommended for M&A extended its team in the previous year and thus its contacts to private equity companies in Germany, which now paid off with several smaller deals. A larger transaction was arranged by the Eversheds network, but could not be concluded in the end. But the well-established contacts to strategic investors and family offices still provided the practice group with enough work. However, at the beginning of 2012, the renowned corporate expert Dr. Jörg Kretschmer left Heisse Kursawe Eversheds in order to establish his own law firm KSLex.

Distribution Systems
Law firm frequently recommended in distribution and franchise law, which strongly benefits from its international Eversheds network. The law firm constantly succeeds in extending the number of large international clients, without losing its solid basis of medium-sized German permanent clients. Heisse Kursawe Eversheds is thereby providing advice to numerous branches of industry, e.g. food, garment, financial services, furniture and technology. The law firm advised the coffee chain Starbucks on the negotiation of a cooperation agreement with Krüger and the material manufacturer Resysta on the establishment of an international distribution system. At the same time, Heisse Kursawe Eversheds strengthens its competence with regard to the structured sales organisation in the financial services sector. In franchise law, where the law firm is, among others, acting for Burger King, the work is focused on all matters regarding new expansions and further development of concepts under existing contracts. With respect to its team, the practice group remained stable, but will require support in the long term due to its high utilisation. The former salary partner Dr. Joos Hellert, who is known for his franchise law competence, and Dr. Alexander Niethammer with his focus on IP/IT were appointed as equity partners, which further emphasises the importance of the distribution law practice group at Heisse Kursawe Eversheds.

Competition Law, Trademark Law
The law firm recommended in trademark and competition law is becoming increasingly established. This is on the one hand due to the partner Dr. Axel Zimmermann, who has strong client acquisition skills. On the other hand, the law firm benefits from the Eversheds network, which recently arranged for the contact with the client H. J. Heinz. In particular in competition law, Heisse Kursawe Eversheds becomes more and more visible due to its increased activity in court proceedings. The team often works in cooperation with the IT and distribution law practice groups. However, the law firm had to abandon its plan to build up a patent law division within the provision of comprehensive IP advice: The team that joined only in 2010 has left the law firm again (and joined different law firms). This particularly affected the technical property rights, however, one partner was also acting in trademark and competition law. Heisse Kursawe Eversheds now focuses on improving its organisation and plans to introduce so-called sector groups.

Capital Markets: Heisse Kursawe Eversheds is highly recommended for work in the ECM mid-cap market, where it has been advising on Chinese IPOs, including that of client China Specialty Glass. It also advised on United Power Technology's IPO on the Prime Standard list of the Frankfurt Stock Exchange. Alexander Honrath is recommended.

After having conducted general meetings successfully, the law firm was recently also able to acquire other matters for the respective clients. In this way, Heisse Kursawe Eversheds first advised Tognum AG in 2010, then on the occasion of Tognum's general meeting in 2011 and consequently Heisse Kursawe Eversheds was instructed in connection with the tender for take-over of Daimler and Rolls Royce worth EUR 3.2 billion. Flowers in the proceedings against the de facto expropriation of the private shareholders of the scandal-ridden Hypo Real Estate; the team is headed by the renowned banking law expert Dr. Alexander Honrath. Last year, the law firm advised two Chinese companies on their IPOs in Germany; Dr. Honrath was also in charge of these projects. Intellectual property law has always played an important role with Heisse Kursawe Eversheds in Munich, where both the German Patent and Trade Mark Office and the European Patent Office are located. Under the aegis of Axel Zimmermann, head of the IP practice group, and Christof Lamberts, head of the commercial practice group of Heisse Kursawe Eversheds, the law firm has gained an excellent reputation in trade mark and competition law. Heisse Kursawe Eversheds has a new practice group, Litigation & Dispute Management, which is headed by Fabian Volz and Dr. Joos Hellert; it comprises a total of ten partners and their teams of different specialist areas. The practice has established itself fast; last year it provided advice to Via Vadis Controlling GmbH in the court proceedings against Skype; the subject matter of this dispute was the infringement of patent laws by Skype's telephone services via the Internet. Dr. Christophe Samson and Thomas Ziegler are in charge of real estate law - as well as with reference to the advice in connection with real estate financing. Counsel Dr. Adrian Birnbach was hired from Linklaters as further support in this area. With their very individual concept for success - full service at fixed prices and a service orientation for which clients praise the law firm - HKE has risen fast during the last few years. In particular, its work regarding difficult annual general meetings resulted in the law firm gaining a reputation of being pragmatic and solution-oriented. In 2010/11 the law firm has started to expand its mid-sector with experienced lawyers, inter alia from Linklaters, P+P Pöllath + Partners, Dechert and also Audi; transaction specialists with a distinctive focus on private equity are amongst them. Over 20 listed companies trust the firm's expertise in this field. The second focus lies on the transaction business. The clients are predominantly medium-sized companies and family business owners from Germany and abroad, but now also include major international groups. In the last year for instance, the firm advised Körber AG with respect to the acquisition of the machine manufacturer Winkler & Dünnebier.

Labour: At Heisse Kursawe Eversheds, partner and eponym Stefan Kursawe is well-respected for advising executives, including, amongst others, the former CEO of Siemens Greece. The team succeeded in winning several well-known clients, and also Sony, Merck, Securitas Germany, and Intertone belong to its clients.
Banking and Finance: Heisse Kursawe Eversheds’ Banking and Finance team, led by Thomas Ziegler, consists of three partners and specializes in acquisition financing and real estate. The team advised HSBC in respect of a multi-currency loan facility of EUR 135 million to an international group.
Corporate and M&A - medium-sized deals: Heisse Kursawe Eversheds benefits from the Eversheds LLP network and was entrusted with a steadily increasing number of restructuring cases. Bavaria Industriekapital counted on the team's expertise in the context of the acquisition of Alcoa's Spanish aluminum foil plant, as did Experian when acquiring United Mail Solutions. Real Estate and Construction (real estate law): Thomas Ziegler at Heisse Kursawe Eversheds specializes in structuring, financing and managing large real estate transactions. The firm advised Invesco Real Estate on the 53 million euro purchase of an office building as well as Institutional Fund on the structuring and purchase of logistics property in Berlin.

Capital Markets: Heisse Kursawe Eversheds in Munich has the biggest team of capital market experts outside of Frankfurt. Alexander Honrath's team was involved in several significant transactions and advised, for example, J.C. Flowers on investments in Hypo Real Estate Bank in accordance with a take-over offer by the German Federal Government, a 1.2 billion euro deal. Furthermore, the team advised a well-known hedge fund, which buys and sells Continental packages, relating to its 10.4 billion euro take-over offer for Schäffler.

International law firm Eversheds was named 'Mid-Market Law Firm of the Year' at the recent Acquisitions Monthly awards ceremony.
The Acquisitions Monthly awards are the principal M&A industry awards and celebrate excellence throughout 2005 across European deals and teams. The citation for the mid market award, which assessed firms across all deals up to 0m, made reference to the progress made by Eversheds over the past year, its services and the ability to handle large, high profile deals, noting that the firm had "successfully expanded its private equity franchise and won new clients among some of the leading private equity houses, as well as completing an impressive list of corporate mandates."
