Heisse Kursawe Eversheds advised INDUS Holding AG on cash capital increase
INDUS Holding AG, based in Bergisch Gladbach, Germany, decided to increase its nominal capital of EUR 52,538,291.22 by EUR 5,253,825.20 to EUR 57,792,116.42 by way of a cash capital increase, making partial use of the authorized capital. 2,020,702 new no-par value bearer shares certificates with a calculatory share in the nominal capital of EUR 2.60 rounded per share will be issued at an issue price of EUR 18.40 per share. The total volume of the capital increase is EUR 37,180,916.
INDUS Holding AG was advised by a team of the international law firm Heisse Kursawe Eversheds under the aegis of Dr. Matthias Heisse (Partner, Corporate). Further team members included Sven Schweneke (Counsel, Corporate) and Dr. Arndt Scheffler (Counsel, Antitrust Law).
The entire share package will be acquired by Versicherungskammer Bayern (Bavarian public sector insurance company). Versicherungskammer Bayern had already taken over approx. 9 % of the nominal capital of INDUS Holding AG in 2010 and will now increase its shareholding to approx. 17.36 %. By way of the capital increase, INDUS Holding AG strengthens its equity and liquidity base and thus creates a solid foundation for the company to continue its positive business development.
The Federal Cartel Office (Bundeskartellamt) has already given its clearance for the merger proposal.
